Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Bizy Technologies LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company, governing your access to and use of the Hello JURI platform and services (collectively, the "Service").

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. Your access to and use of the Service is also conditioned on your acceptance of and compliance with our Privacy Policy.

2. Definitions

• "Account" means a unique account created for you to access our Service.
• "Content" means any legal documents, case information, text, images, or other materials you upload to the Service.
• "Organization" means a law firm or legal entity using the Service.
• "User" means any individual who accesses or uses the Service.
• "AI Services" means the artificial intelligence and machine learning features provided through the Service.

3. Nature of the Service

We recommend consulting with a qualified attorney licensed in your jurisdiction for advice specific to your situation. Do not disregard professional legal advice or delay seeking it because of information you accessed through the Service.

4. AI Disclosure and Limitations

By using the AI Services, you acknowledge that:

• AI-generated outputs may be inaccurate, incomplete, or outdated
• You must use the Service with human oversight and are solely responsible for reviewing any output
• AI outputs may not be unique and other users may receive similar content
• You should not rely solely on AI-generated information for legal decisions
• AI systems have knowledge cutoff dates and may not reflect current law
• Complex legal matters require individualized professional review

5. Understanding Privilege in AI-Assisted Workflows

Hello JURI is a technology platform, and communications with the Service do not, on their own, create attorney-client privilege between you and Bizy Technologies LLC. This is consistent with how all technology vendors operate in the legal industry.

For attorneys: you retain full responsibility for managing privilege and confidentiality under your jurisdiction's professional conduct rules when using any technology tool, including Hello JURI. We recommend reviewing our AI Transparency page and consulting your bar association's guidance on AI tools in legal practice.

6. Account Registration

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old.

You are responsible for safeguarding the password and access credentials used to access the Service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

7. User Responsibilities

7.1 All Users

You agree not to use the Service:

• For any unlawful purpose or in violation of any laws
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To upload or transmit viruses, malware, or other malicious code
• To interfere with or circumvent the security features of the Service
• To scrape, data mine, or engage in automated data collection

7.2 Attorney Users

If you are a licensed attorney using the Service in connection with client matters, you are responsible for ensuring compliance with:

• Your jurisdiction's rules of professional conduct
• Confidentiality obligations under attorney-client privilege
• Competence requirements when using AI tools (e.g., verifying AI-generated citations)
• Supervision rules for non-lawyer assistance (AI as "non-lawyer")
• Client communication requirements regarding AI use
• Fee ethics (not charging hourly fees for time saved by AI)

8. Payment and Billing

The Service offers a 14-day free trial with usage limits, and no credit card is required to begin the trial. After the trial period, continued use requires payment of applicable fees. All fees are exclusive of taxes, which you are responsible for paying.

Subscription fees are billed in advance on a monthly or annual basis. You may cancel your subscription at any time to stop future renewals. Once you start a paid subscription, fees already paid are non-refundable except where applicable law requires otherwise.

9. Data and Content

9.1 Your Content

You retain all rights to the Content you upload to the Service. By uploading Content, you grant us a limited license to use, process, and store your Content solely for the purpose of providing and improving the Service.

9.2 AI Processing

Your Content may be processed by our AI infrastructure to provide intelligent features. We do not use your Content to train general AI models without your explicit consent. See our Privacy Policy for more details.

9.3 Data Retention

Upon account termination, you have a 90-day grace period to retrieve your Content. After this period, your Content will be permanently deleted from our active systems, except where retention is required by law or for legitimate business purposes (e.g., financial records).

10. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Bizy Technologies LLC and its licensors. The Service is protected by copyright, trademark, and other laws.

AI-generated outputs are provided "as-is" without warranty of originality. Similar outputs may be provided to other users. You are responsible for ensuring your use of AI outputs complies with applicable copyright and other laws.

11. Termination

We may suspend or terminate accounts that violate these Terms. Where possible, we will provide 30 days' notice before termination and allow you to export your data. In cases of serious violations — including fraud, security breaches, or illegal activity — we may suspend access immediately to protect other users and the integrity of the Service.

Upon any termination, you retain the right to export your data for 90 days. After this period, your Content will be permanently deleted in accordance with our data retention policies.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis. Bizy Technologies LLC makes no warranties, expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected within any specific timeframe; (c) the Service will be free from security vulnerabilities, malicious code, or harmful materials; or (d) the results of using the Service will meet your requirements.

These disclaimers reflect standard technology platform terms and do not diminish our commitment to delivering a reliable, high-quality service. We monitor all reports submitted through the platform and work to address errors and defects on a best-effort basis.

13. Limitation of Liability

Our total liability to you for all claims arising from or relating to these Terms or your use of the Service shall not exceed the amount you paid to us during the twelve (12) months immediately preceding the event giving rise to liability.

We are not liable for any legal outcomes resulting from your use of the Service, including but not limited to court decisions or settlement amounts.

14. Indemnification

14.1 Your Indemnification

You agree to defend, indemnify, and hold harmless Bizy Technologies LLC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the Service, or your violation of any term of these Terms.

14.2 Our Indemnification

Bizy Technologies LLC will defend you against third-party claims alleging that the Service, as provided by us, infringes a third party's intellectual property rights, and will indemnify you against resulting damages awarded by a court or agreed in settlement, provided that you: (a) give us prompt written notice of the claim; (b) grant us sole control of the defense and settlement; and (c) provide reasonable cooperation at our expense.

15. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Arbitration. Any dispute arising from or relating to these Terms or the Service shall, to the extent permitted by applicable law, be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place at a mutually agreed location or via video conference, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. For claims under $10,000, either party may elect to bring the dispute in small claims court instead of arbitration.

Class Action Waiver. You agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Opt-Out. You may opt out of this arbitration provision by sending written notice to legal@hellojuri.com within 30 days of first accepting these Terms. Your notice must include your full name, email address associated with your account, and a clear statement that you wish to opt out. If you opt out, all other provisions continue to apply.

Nothing in this Section 15 limits any rights or remedies that cannot be waived under applicable law, including mandatory consumer, privacy, or data protection rights that may apply in the Philippines or in your place of residence.

16. Changes to Terms

We will provide at least 30 days' advance notice of material changes to these Terms, including changes to pricing, data handling, or dispute resolution. You will be notified by email and in-app notification.

If you do not agree to updated terms, you may cancel your subscription and export your data before the changes take effect. By continuing to access or use our Service after the revised terms become effective, you agree to be bound by the revised terms.
